01. Acceptance of Terms

By accessing, purchasing, or using Notia software and associated cloud services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, agency, or other legal entity, you represent that you possess the authority to bind such entity to these provisions. If you do not agree with any provision stated herein, you must immediately terminate use of the platform.

02. User Accounts & Authorized Access

You must safeguard credentials and multi-factor authentication devices associated with your workspace. You are exclusively responsible for all activities, integrations, and automated actions taken under your credentials. Notia reserves the right to suspend or terminate accounts that violate system stability, conduct unauthorized vulnerability testing, or bypass rate limits.

03. Client Confidentiality & Zero Foundation Training

We acknowledge that the client communications, documents, and historical notes you sync with Notia contain strictly confidential business data. Notia maintains an unequivocal zero-training guarantee: Customer Data is never used to train public, open-source, or third-party foundation models. Your workspace data remains isolated in single-tenant virtual environments encrypted with customer-managed keys.

04. Subscriptions, Invoicing & Cancellations

Subscriptions are billed in advance on a recurring monthly or annual billing cycle. You may cancel your subscription at any time within your organization settings. Upon cancellation, your account retains access through the conclusion of the active billing period, after which automated recurring charges cease.

05. Intellectual Property Rights

Notia retains all rights, title, and interest in and to the platform, user interface designs, proprietary algorithms, and brand assets. Customers retain all rights, title, and ownership in and to all data, inputs, and derived intelligence outputs generated by Customer through the service.

06. Limitation of Liability & Service Availability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages. Notia’s total aggregate liability arising out of or related to this agreement shall not exceed the total fees paid by Customer during the twelve (12) months preceding the incident.

07. Governing Law & Dispute Resolution

These Terms and any dispute arising from them shall be governed by and construed under the laws of the State of Delaware, without giving effect to conflict of laws principles. Any legal proceeding shall be brought exclusively in the state or federal courts located in Wilmington, Delaware.
